This End User License Agreement (“EULA”) supplements the Terms of Service between you (“you” or “User”) and Smart AI Team LLC (“Smart AI Team,” “we,” “us,” or “our”) for software components we make available as part of Smart AI Team (the “Software”), including browser-based application components, command-line interface (“CLI”) tools, local agent utilities, integrations, and updates we provide.
1. License Grant
Subject to this EULA, the Terms of Service, and your authorized access to the Service, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install, where applicable, and use the Software solely to access and use the Service in accordance with your plan, documentation, and usage limits.
You may use the Software for any lawful personal, professional, commercial, or client-service purpose in accordance with your plan. If you use the Software on behalf of another person, company, brand, client, or organization, or connect third-party accounts, data sources, or API keys, you represent that you have authority to do so and remain responsible for your use of the Software and actions taken through your account. You may not resell, sublicense, white-label, or provide access to the Software as a standalone product unless we expressly authorize it in writing.
2. Restrictions
Except as permitted by applicable law, you may not:
- copy, modify, adapt, or create derivative works of the Software except as necessary for ordinary authorized use;
- reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by law;
- rent, lease, sell, sublicense, distribute, or publicly display the Software;
- remove or alter proprietary notices;
- use the Software to develop a competing service through unauthorized copying, scraping, or circumvention;
- circumvent technical limitations, usage limits, access restrictions, or security controls; or
- use the Software in violation of the Terms of Service, applicable law, third-party rights, or applicable platform policies.
3. Open Source and Third-Party Components
The Software may include third-party or open-source components governed by their respective licenses. Those licenses apply to the corresponding components, and this EULA does not restrict rights granted under those licenses.
4. Updates
We may provide updates, patches, improvements, or replacements to the Software. Updates are part of the Software and subject to this EULA unless accompanied by separate terms, in which case those separate terms govern the update.
5. Ownership
We and our licensors retain all right, title, and interest in the Software. No rights are granted except as expressly stated in this EULA.
6. Telemetry, Diagnostics, and Product Data
The Software may transmit diagnostic, security, performance, configuration, feature-usage, crash, and error information to help us provide, secure, maintain, and improve the Service. The Software may also process content, files, instructions, account information, integration data, or other materials that you submit or authorize the Software to access in connection with requested functionality.
Our collection, use, retention, and disclosure of personal information and Customer Content are described in our Privacy Policy and any applicable in-product notices.
7. Agents, Integrations, and User-Authorized Actions
The Software may allow you to connect third-party services, provide permissions, execute commands, generate content, or initiate actions through automated or agent-assisted functionality.
You are responsible for ensuring that you have authority to connect each account, access each data source, submit each instruction, and publish, transmit, or otherwise use resulting content or actions. You remain responsible for actions initiated through your account, including actions taken through integrations, connected platforms, or automated workflows.
You are responsible for maintaining appropriate backups, credential security, permissions, approvals, monitoring, and human-review processes appropriate for your use of the Software.
8. AI-Assisted Functionality
The Software may provide artificial intelligence-assisted features, generated outputs, recommendations, workflows, or automated actions through model providers selected by you or through provider accounts or API keys that you choose to connect. Your rights and responsibilities regarding Customer Content, outputs, automated actions, data processing, acceptable use, third-party providers, and third-party rights are governed by the Terms of Service and Privacy Policy.
Third-party model providers may process submitted content according to their terms, privacy policies, service tier, account configuration, and data-control settings. AI-assisted outputs may be inaccurate, incomplete, misleading, non-unique, unsuitable for your intended purpose, or subject to third-party rights. You are responsible for reviewing outputs and ensuring their accuracy, legality, suitability, and compliance with applicable platform rules before use or publication.
9. Beta and Experimental Features
We may make beta, preview, early-access, or experimental Software features available. Such features may be changed, suspended, or discontinued without notice and may contain errors or operate unexpectedly. Unless we expressly state otherwise in writing, beta, preview, early-access, and experimental features are provided without warranties, service-level commitments, or guarantees of continued availability.
10. Term and Termination
This EULA remains effective until terminated. It terminates automatically when your right to use the Service ends or when we suspend or terminate access under the Terms of Service.
Upon termination, you must cease use of the Software and destroy any copies in your possession, except copies retained in ordinary backup systems solely for compliance or recovery, which must not be used operationally.
Termination does not limit rights or obligations that by their nature should survive, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, indemnification, and dispute provisions.
11. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SOFTWARE.
OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Export and Sanctions
You will comply with applicable export control and sanctions laws. You may not use, export, re-export, or provide the Software in violation of such laws or to any jurisdiction or person prohibited by such laws.
14. U.S. Government Users
If you are a U.S. Government end user, the Software is “commercial computer software” and “commercial computer software documentation” as defined in applicable FAR and DFARS provisions, and use is subject to this EULA and the Terms of Service.
15. General
This EULA is governed by the law and dispute provisions in the Terms of Service. If there is a conflict between this EULA and the Terms of Service regarding the Software, the Terms of Service control except where this EULA expressly addresses software licensing, in which case this EULA controls for that subject.
